These general terms and conditions of sale are designed to provide a solid and legal basis for transactions on the SODIC website, while taking into account the necessary obligations and protections for both parties.

Article 1 : Preamble

These general terms and conditions of sale (hereinafter "GTC") govern the contractual relationships between SODIC, a French company, and any user of the website intended for the sale of agri-food products to wholesalers, modern trade (supermarkets), retailers, restaurants, etc. (hereinafter "the Customer"). By accessing the website and placing an order, the Customer unconditionally accepts these GTC.

Article 2 : Definitions
  • Website : SODIC's online platform enabling the connection between sellers of agri-food products and wholesalers with SODIC products and services.
  • Customer : Any legal entity or individual using the website to purchase products.
  • Product : Any agri-food item offered for sale on the website.

Article 3 : Purpose

The purpose of these GTC is to define the rights and obligations of the parties in the context of the sale of Products via the SODIC website.

Article 4 : Website Access

Access to the website is restricted to users who have created an account and accepted these GTC. SODIC reserves the right to refuse access to the website to any user who does not comply with the GTC.

Article 5 : Order

Orders on the website are placed online via the Customer's account. Any order constitutes acceptance of the prices and descriptions of products available for sale. SODIC confirms receipt of the order by email.

Article 6 : Price and Payment

Product prices are indicated in euros, excluding taxes and delivery costs. Payment is made online by credit card or any other means of payment offered by SODIC. The debit is made at the time of order confirmation.

Article 7 : Delivery

Delivery times are indicated on the product page and confirmed at the time of order. Delivery is made to the address provided by the Customer during the order. Risks are transferred to the Customer upon receipt of the Products.

Article 8 : Product Reception

The Customer must verify the condition of the Products upon delivery. In case of anomaly, the Customer must make reservations on the delivery note and inform SODIC within 48 working hours following receipt.

Article 9 : Withdrawal

Sales made on the website are firm and final. No right of withdrawal is granted to the Customer, except as otherwise provided by law. Notwithstanding this principle, the Customer benefits from a right of return in the following cases: when the delivered product is defective or does not correspond to the description provided on the website, the Customer is entitled to request a refund or an exchange of the product concerned; in case of delivery of a product that does not correspond to the Customer's order, the latter is entitled to return the item and request delivery of the initially ordered product or, failing that, a full refund. To exercise this right of return in these cases, the Customer must contact customer service within 2 working days from receipt of the product. In case of accepted return, the Company will, at the Customer's choice and depending on the circumstances, either refund the price of the product or exchange it. Return shipping costs will be borne by the Company in the aforementioned cases. The Company reserves the right to examine any returned product to verify the validity of the return request before proceeding with a refund or exchange.

Article 10 : Warranty

The Products benefit from the legal warranty of conformity and the warranty against hidden defects, in accordance with the legal provisions in force. The duration of this warranty is set at eight working days from the date of delivery of the Product. During this period, the Customer can assert their rights under these warranties according to the conditions provided by law.

Article 11 : Personal Data

Personal data collected by SODIC is necessary for order management and service improvement. They are processed in accordance with SODIC's privacy policy. See the detailed privacy policy in a separate chapter.

Article 12 : Intellectual Property

All elements of the website are and remain the exclusive intellectual property of SODIC and its respective partners. Any reproduction, exploitation, redistribution, or use of the website elements, even partial, is strictly prohibited without prior authorization from SODIC.

Article 13 : Force Majeure

SODIC will not be held responsible for the non-performance of its obligations in case of force majeure as defined by French jurisprudence.

Cases of force majeure may include, but are not limited to: natural disasters (earthquakes, floods, hurricanes, storms, volcanic eruptions); pandemics and epidemics (widespread diseases such as COVID-19, pandemic influenza); governmental actions (closure decisions, embargoes, requisitions, travel bans); general strikes paralyzing a significant part of the economy or public services; transport interruptions (closure of ports, airports, or main roads due to unforeseen events).

This list is not exhaustive, and other situations may be considered as cases of force majeure according to the assessment of the courts.

Article 14 : Applicable Law and Jurisdiction

These GTC are subject to French law. In case of dispute, exclusive jurisdiction is attributed to the competent French courts.

Article 15 : Modifications to the GTC

SODIC reserves the right to modify these GTC at any time.

Customers will be informed of any modification by prior notification sent by simple email, without acknowledgment of receipt. The new GTC will be applicable as soon as they are posted on the Marketplace, unless otherwise indicated in the notification. It is the Customer's responsibility to be aware of the GTC in force at the time of each order.

Continued use of the Marketplace after notification of modifications constitutes acceptance of the new GTC by the Customer.
